Hyperstandard Terms & Conditions

Important Notice
These Terms & Conditions (the “Terms”) constitute a binding agreement between you (acting on behalf of an organization, collectively “you” or “Customer”) and Hyperstandard SAGL, UID CHE-432.275.678, Contrada di Sassello 10, 6900 Lugano, Switzerland (“Hyperstandard,” “we,” or “us”).
BY CREATING AN ACCOUNT, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DISAGREE OR LACK AUTHORITY, DO NOT CREATE AN ACCOUNT OR USE THE PLATFORM.
These Terms may be updated from time to time as described in Section 2.4.
1. Definitions
Account — your registered Hyperstandard account.
Approval Group — configurable group of Users with authority to approve specific transactions or operations subject to threshold-based rules.
Blockchain Network — distributed ledger technology network supported by the Platform (including Polygon, Arbitrum, Ethereum, Bitcoin, and others).
Confidential Information — non-public information disclosed by one party to the other, including business plans, technical data, customer information, and the terms of this Agreement.
Customer Data — data, information, and content provided, uploaded, or generated by you through use of the Platform.
DFNS — third-party MPC wallet infrastructure provider (non-custodial).
DFNS Organisation — your independent DFNS account, which you control directly.
Digital Assets — cryptocurrencies and tokens (BTC, ETH, USDC, USDT, etc.).
Exchange Services — crypto-to-crypto and crypto-to-fiat conversion services provided by licensed exchange providers.
Gas Fee — transaction fee required to execute transactions on Blockchain Networks, payable in the native asset of the relevant network (e.g., ETH for Ethereum).
Gas Fee Wallet — designated Wallet used to hold assets for paying Gas Fees on behalf of your Organization.
Organization — your business entity within the Platform.
Order Form — ordering document or online order specifying Subscription Fees and services.
Passkey — your FIDO2/WebAuthn cryptographic credential required to authorize transactions.
Privacy Policy — Hyperstandard's privacy policy available at https://hyperstandard.com/privacy-policy.
Platform — Hyperstandard’s non-custodial treasury management software.
Super Admin — Customer’s highest administrative role with irrevocable authority.
Third-Party Services — DFNS, licensed exchange providers, WorkOS, and other integrated services.
User — individual authorized by you to access the Platform.
Wallet — non-custodial digital asset wallet created via DFNS MPC infrastructure.
2. Platform and Services
2.1. What we provideHyperstandard is a technology platform and software service that operates as an optional layer on DFNS wallet infrastructure, providing:
- User interface for managing DFNS Wallets;
- Multi-signature approval workflows, and role-based access controls and beneficiary whitelisting;
- Integration with decentralised applications (“dApps”), DeFi protocols, and treasury management;
- Access to regulated exchange services through Third-Party Services;
- Comprehensive audit logging and compliance reporting tools; and
- Reporting functionality.
2.1. What we are not
We are not: a financial institution, bank, custodian, trustee, fiduciary, exchange, broker, dealer, investment adviser, money services business, money transmitter, or provider of custodial services or Exchange Services. Hyperstandard does not receive, hold, transmit, intermediate, settle, or take possession or control of fiat currency or Digital Assets at any time. Hyperstandard does not act as agent, representative, intermediary, broker, introducer, authorized signatory, or fiduciary. All transaction instructions are cryptographically authorized by you.
2.3 Platform as Optional Layer
The Platform is entirely optional. You can at any time:
- Operate DFNS Wallets without Hyperstandard;
- Access DFNS directly via their portal;
- Remove Hyperstandard’s access to your DFNS Organisation;
- Use DFNS recovery tools independently; and
- Continue managing Digital Assets if Hyperstandard ceases operations.
Hyperstandard’s termination does not affect your access to or control of Digital Assets.
2.4 Updates to These Terms
We may update these Terms from time to time by posting the revised Terms and providing notice via email to the address associated with your Account. Updates will become effective thirty (30) days after notice is sent, unless a longer period is required by applicable law.
Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform and terminate your Account before the effective date.
We will indicate material changes in the notice and update the "Last Updated" date at the top of these Terms.
2.5 Regulatory Compliance and Cooperation
Hyperstandard operates in compliance with applicable laws and regulations. We will cooperate with regulatory authorities and law enforcement as required by law, including responding to information requests, providing documentation, and facilitating inspections or audits.
We may modify the Platform, request additional information from you, suspend services, or terminate Accounts as necessary to comply with legal or regulatory requirements. Where legally permitted, we will provide you with reasonable notice of compliance-related actions.
3. Non-Custodial Status
Hyperstandard does NOT provide custodial services and does NOT have custody, possession, or control of your Digital Assets.
Hyperstandard does not hold, possess, or access: Private Keys (which exist only as distributed DFNS shares), MPC key shares, your Passkey, DFNS Organisation admin credentials, or any cryptographic material capable of signing transactions.
You have three ways to manage Wallets and Digital Assets without Hyperstandard:
- DFNS Portal: Log in directly to your DFNS Organisation to view Wallets, initiate transactions, manage users, configure policies, and revoke Hyperstandard’s access.
- DFNS Recovery Toolkit: Use DFNS recovery tools to maintain control of your Wallets without Hyperstandard.
- DFNS Reconfiguration: Remove Hyperstandard’s service account, change permissions, add alternative providers, or take over API access directly.
These access paths are documented in our Help Center and provided during onboarding.
If Hyperstandard ceases operations, suspends your access, experiences failures, or is compelled to deny service—your Wallets, Digital Assets, and signing authority remain entirely unaffected. You retain full independent access. This structural independence distinguishes us from a custodian.
We owe you no fiduciary duties regarding Digital Assets. Our relationship is strictly as a software service provider.
You are solely responsible for safeguarding Passkeys and DFNS credentials; implementing internal controls; securing devices and systems; monitoring transactions; maintaining backup access to DFNS; understanding Digital Asset risks; and ensuring regulatory compliance.
4. Eligibility and Registration
To use the Platform, you must:
- Be a legal entity or an individual aged 18 or older with full legal capacity.
- Have the authority to enter into and be bound by these Terms.
- Comply with all applicable laws and regulations, including AML, CTF, sanctions, tax, securities, and data protection laws.
- Not be listed on any applicable sanctions lists (including SECO, EU, UN, OFAC).
- Not engage in any prohibited activities described in Section 9.
You must provide accurate, current, and complete information during registration, maintain and promptly update such information, designate a Super Admin, implement two-factor authentication (2FA), and accept these Terms as a condition of accessing the Platform.
When registering on behalf of an organization:
- You represent and warrant that you have authority to bind the organization.
- The organization (and not you individually) is considered the “Customer” under these Terms.
- You are responsible for ensuring that all Users comply with these Terms.
- The organization is fully liable for all actions taken by its Users.
We may request additional information, conduct background checks, require sanctions screening, or suspend or terminate your Account if we determine that you fail to meet eligibility requirements, present unacceptable risk, or fail to comply with applicable laws or these Terms.
5. Users, Roles, and Permissions
You hold the Super Admin role with irrevocable authority. This role:
- Cannot be reassigned without Super Admin consent.
- Cannot have its permissions reduced.
- Has ultimate authority over Users, Wallets, policies, and configurations.
- Controls DFNS Organisation access.
- May remove Hyperstandard’s access at any time.
The Platform provides four user roles:
- Super Admin: Full administrative control (held by you).
- Admin: Elevated privileges for managing the Organization and Wallets.
- Member: May access Wallets and initiate transactions subject to configured approval workflows.
- Viewer: Read-only access to view Wallets and transactions.
When using the “custom approvals” functionality, you may configure transaction thresholds, Approval Groups, Wallet-level restrictions, and feature-specific authorizations according to your internal governance and risk requirements.
As Super Admin, you are responsible for authorizing and de-authorizing Users, assigning roles, monitoring activities, implementing internal controls, removing terminated Users, and ensuring compliance with these Terms. You are fully liable for all actions taken by Users within your Organization.
6. POLICY ENGINE
The Platform incorporates a Policy Engine built on DFNS infrastructure that governs the authorization requirements for transactions initiated through the Platform. The Policy Engine enables Customers to define and enforce rule-based controls over all outbound transactions, providing a programmable security and compliance layer between Users and the underlying wallet infrastructure.
6.2 Your Responsibility for Policy ConfigurationYou are solely responsible for configuring, maintaining, and reviewing all Policy Engine settings applicable to your Organization. Policy configuration is a critical security function and you accept full responsibility for:
- Signer Thresholds: Determining how many authorized signers (from one (1) to the maximum number of eligible Users) must approve a transaction before it can be executed.
- Spending Limits: Setting per-transaction value thresholds, above which additional approval requirements are triggered.
- Approval Group Assignment: Designating which Users or roles constitute valid approvers for each policy rule, and ensuring Approval Groups remain accurately configured as team membership changes.
- Wallet-Level Policy Overrides: Configuring Wallet-specific policies that supplement or override Organization-level policies where appropriate.
- Policy Review and Updates: Regularly reviewing Policy Engine configurations to ensure they remain appropriate for your operational requirements, risk profile, and applicable regulatory obligations.
- Testing and Validation: Verifying that configured policies operate as intended before relying upon them for live transaction controls.
Hyperstandard provides the technical interface to the Policy Engine but does not configure, set, monitor, or accept responsibility for your policy choices or their adequacy for any particular risk management or compliance purpose.
6.3 Standard Policy — Exchange, Retry, and Boosted TransactionsBy accepting these Terms, you acknowledge and agree to the following ‘Standard Policy’ applicable to specific transaction types:
STANDARD POLICY — APPLICABLE TRANSACTION TYPES
The following transaction categories are subject to the Standard Policy, which requires one (1) authorized signer for execution:
- Exchange Transactions: All crypto-to-crypto and crypto-to-fiat conversion transactions executed through integrated Exchange Services;
- Retry Transactions: Re-submissions of previously failed transactions where the underlying transaction parameters remain materially unchanged; and
- Boosted Transactions: Transactions resubmitted with an increased network fee (gas boost) to accelerate confirmation on a blockchain network.
You accept that the Standard Policy is designed to facilitate operational efficiency for these transaction types and acknowledge that a single-signer requirement provides a reduced level of multi-party authorization control compared to higher-threshold policies. You are responsible for ensuring this Standard Policy is appropriate for its risk appetite and internal control requirements.
6.4 No Guarantee of Policy Effectiveness
Hyperstandard does not warrant that the Policy Engine, once configured by you, will prevent all unauthorized transactions, user errors, or losses. The Policy Engine is a configurable control layer and its effectiveness depends entirely on the accuracy and appropriateness of your configuration. Hyperstandard has no liability for losses arising from Policy Engine misconfiguration, failure to update policies following organizational changes, or your election to apply lower-threshold policies (including the Standard Policy) to any transaction type.
6.5 Hyperstandard's Service Account and Policy InteractionHyperstandard operates a service account within your DFNS Organisation solely for the purpose of facilitating Platform functionality. This service account operates within the boundaries of your configured policies and does not have the ability to override, bypass, or modify Customer-defined policy rules. You may remove or restrict Hyperstandard's service account access at any time via the DFNS portal.
6.6 Policy Changes and NotificationsYou are responsible for notifying relevant Users of any changes to Policy Engine configuration that affect their transaction permissions or approval obligations. Hyperstandard is not responsible for operational disruption caused by policy changes made by your administrators.
7. PLATFORM FEATURES
7.1 WalletsCreate/manage non-custodial Wallets via DFNS, configure access controls, monitor balances and history, designate Gas Fee Wallets, and archive Wallets
7.2 TransactionsSend Digital Assets to whitelisted beneficiaries, move assets between Wallets, execute swaps/conversions via Exchange Services, and configure automated transactions (subject to permissions and approvals).
7.3 Beneficiary WhitelistingAll beneficiary addresses must be whitelisted before receiving transactions. Whitelisting requires maker-checker approval where configured. You must verify network compatibility. You are solely responsible for address errors.
7.4 Gas FeesYou are responsible for maintaining adequate Gas Fee Wallet balances. Transactions fail without sufficient gas. Gas Fees are consumed by Blockchain Networks (not us), are variable, and are non-refundable.
8. THIRD-PARTY SERVICES
8.1 Exchange ServicesThe Platform integrates with licensed exchange service providers that offer crypto-to-crypto and crypto-to-fiat conversion services.
Your Direct Relationship: You contract directly with each exchange provider. You must complete onboarding, KYC verification, and accept their terms. Exchange providers set all pricing, spreads, and fees, and execute all trades.
Hyperstandard’s Role: We provide the software interface to connect you to exchange services. We relay your trade requests but cannot execute trades, set pricing, or guarantee execution.
8.2 No WarrantiesWe make no warranties regarding Third-Party Services (availability, accuracy, security, compliance, fitness, continued integration).
8.3 RisksYou accept the following risks: DFNS infrastructure failure, Exchange Services unavailability or pricing discrepancies, Blockchain Network congestion or protocol changes, and general Third-Party risks.
8.4 No LiabilityTo the maximum extent permitted by law, we have no liability for failures, losses, damages, breaches, enforcement, or other matters related to Third-Party Services.
9. CUSTOMER RESPONSIBILITIES
You are solely responsible for all Platform use decisions and Digital Asset management, determining suitability, understanding risks, implementing internal controls, training Users, monitoring activities, ensuring regulatory compliance, and seeking independent advice.
Credential SecuritySafeguard all Passkeys, DFNS credentials, and access materials. Implement strong passwords, MFA, secure storage, limit access, revoke terminated Users, maintain backups, never share credentials, and immediately report compromises.
Regulatory ComplianceComply with all applicable laws (AML, CTF, sanctions, tax, securities, data protection); obtain necessary licenses; implement controls; fulfill obligations; maintain records; and cooperate with authorities.
SanctionsEnsure you and Users are not on sanctions lists or subject to trade restrictions; do not transact with sanctioned persons/entities; do not evade sanctions; immediately notify us of changes.
Accurate InformationProvide accurate, current, complete information; update when changed; don’t provide false/misleading information; verify beneficiary addresses; maintain accurate records.
Transaction VerificationBefore any transaction, verify beneficiary address correctness and network compatibility, Digital Asset type and amount, sufficient Gas Fee balance, irreversibility, all details, and accept full responsibility.
WARNINGBlockchain transactions are irreversible. Errors may result in permanent, unrecoverable loss.
Internal ControlsImplement controls, segregation of duties, oversight, monitoring, security reviews, documented procedures, User training, and incident response plans.
Incident ReportingImmediately report security incidents; cooperate in investigations; provide requested information; do not publicize without consent; and take containment actions.
10. PROHIBITED ACTIVITIES
You shall not engage in illegal activities (money laundering, terrorism financing, fraud, sanctions evasion); provide unlicensed financial services; transact with sanctioned persons/entities; conduct fraudulent or deceptive activities; launder proceeds of crime; evade AML/CTF/sanctions controls; access others’ Accounts or Wallets; hack or attack; abuse Platform infrastructure; circumvent security; probe vulnerabilities; use bots; overload systems; introduce malware; or violate these Terms or applicable law.
If you violate these Terms, we may suspend or terminate your Account and report violations to authorities as required by law.
11. DISCLAIMERS AND WARNINGS
11.1 “AS IS”THE PLATFORM IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. We disclaim all warranties including merchantability, fitness for purpose, quality, accuracy, availability, security, results, and non-infringement.
11.2 Digital Asset RisksYou acknowledge extreme volatility (may decline to zero), irreversible transactions, total loss risk, no deposit insurance, regulatory risk, illiquidity, technological failures, security vulnerabilities, and legal uncertainty.
11.3 Blockchain RisksNetwork failures/outages, forks/reorganizations, protocol changes, variable Gas Fees, failed transactions consuming fees, and permanent loss from wrong address/network.
11.4 DFNS/MPC RisksInfrastructure failure, service interruption, protocol vulnerabilities, credential loss = permanent loss, and no recovery mechanism.
11.5 Exchange RisksService unavailability, pricing discrepancies, delays, regulatory changes, KYC rejection, and counterparty failure/insolvency.
11.6 No AdviceWe do NOT provide investment, financial, tax, or legal advice. We make no recommendations. You are solely responsible for decisions. Consult advisors.
11.7 No GuaranteesWe don’t guarantee Platform meets requirements; uninterrupted/error-free operation; defects corrected; freedom from bugs; accurate results; Third-Party availability; or continued features.
11.8 User ErrorsPlatform cannot protect from user errors: incorrect addresses, wrong networks, mistyped amounts, fraudulent approvals, misconfigurations, insufficient gas, or lost credentials. Errors may cause permanent loss.
11.9 Tax LiabilityYou are solely responsible for determining obligations, calculating, reporting, paying taxes, maintaining records, and seeking tax advice.
11.10 Experimental TechnologyCertain features of the Platform may involve experimental, emerging, or evolving technologies, including blockchain infrastructure, decentralized exchanges, MPC systems, and smart contracts. Such technologies are subject to unknown risks, vulnerabilities, regulatory uncertainty, and rapid change.
12. LIMITATION OF LIABILITY
12.1 Maximum LiabilityTO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF: (a) CHF 100; OR (b) TOTAL SUBSCRIPTION FEES PAID IN THE 12 MONTHS PRECEDING THE EVENT.
12.2 Excluded DamagesWE ARE NOT LIABLE FOR: loss of Digital Assets; lost profits/revenue/business/savings; loss/corruption of data; business interruption; loss of goodwill; consequential/indirect/incidental/special/punitive damages; third-party claims; regulatory penalties; opportunity costs; or other losses not directly caused by our gross negligence or willful misconduct.
12.3 Specific ExclusionsNO LIABILITY FOR: Third-Party Service failures (DFNS, exchange providers, etc.); user errors; credential loss; unauthorized access from inadequate security; User misconduct; regulatory actions; market conditions; force majeure; network issues; service modifications; compliance failures; or advised risks.
12.4 ExceptionNothing limits liability for: fraud; willful misconduct; gross negligence; death/injury from negligence; liability that cannot be excluded by law; or IP violations.
12.5 Essential PurposeThese limitations apply even if remedies fail of essential purpose.
13. INDEMNIFICATION
You agree to indemnify and hold Hyperstandard harmless from claims, losses, and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your violation of applicable laws; (c) your use of the Platform; (d) claims that your Customer Data infringes third-party rights; (e) regulatory investigations, enforcement actions, or governmental inquiries relating to Customer’s activities; (f) Customer’s violation of AML, CTF, sanctions, securities, tax or financial regulations; or (g) transactions executed using the Platform.
Hyperstandard will indemnify you from third-party claims that the Platform infringes intellectual property rights, provided you give us prompt notice and allow us to control the defense. Our remedy will be to modify the Platform, obtain a license, or terminate and refund prepaid fees.
14. DATA PRIVACY
Use is governed by our Privacy Policy, incorporated by reference. We process data based on: contract performance; legal obligations; legitimate interests (security, fraud prevention, service improvement); and consent (marketing only—not for User data processing).
We share data with: DFNS (wallet infrastructure); exchange providers (Exchange Services); WorkOS (authentication); Blockchain Networks (transactions publicly recorded); service providers (cloud hosting); legal/regulatory authorities (as required); and business transferees (mergers/sales).
Retention: Audit logs 7 years; transaction records 7 years; Account data (duration + 7 years). Rights: Subject to applicable law, you may access, rectify, erase, restrict, port, or object to processing. Contact privacy@hyperstandard.com.
15. TERM AND TERMINATION
15.1 TermThese Terms commence upon acceptance and continue until terminated.
15.2 Termination(a) By You: Anytime with written notice. Fees non-refundable.
(b) By Us: 30 days’ notice; refund prepaid fees for unused subscription.
(c) For Cause: Immediate if material breach uncured after 30 days, insolvency/bankruptcy, or performance becomes unlawful.
We may suspend if: non-payment; Terms violations; security/legal/reputational risks; required by law; suspected fraud/illegal activity; or Third-Party Service suspensions.
15.4 EffectUpon termination: Platform access terminates; Wallets, Digital Assets, and DFNS access remain unaffected—you retain full independent access via DFNS; we have no liability for continued DFNS access; outstanding fees remain due; we may delete Customer Data (subject to retention); return/destroy Confidential Information; and Sections 3, 8, 10, 11, 12, 13, 14.4, 14.5, 15, and 16 survive.
15.5 No WaiverTermination doesn’t waive obligations accrued before termination or liability for prior breaches.
16. DISPUTE RESOLUTION
16.1 Governing LawSwiss substantive law, without conflicts principles.
16.2 MediationBefore arbitration/litigation, attempt good-faith mediation: either party may initiate; jointly appoint mediator within 30 days (or Lugano Chamber appoints); conduct in Lugano in English; each party bears costs, share mediator fees; confidential; if unresolved within 60 days, proceed to arbitration.
16.3 ArbitrationSwiss Rules of International Arbitration (Swiss Chambers); seat: Lugano; language: English; arbitrators: one (CHF 500K disputes) or three (≥CHF 500K); jointly appointed or per Swiss Rules; each party bears legal costs, arbitration fees allocated by arbitrator(s); confidential; final and binding (no appeal except per Swiss law).
16.4 JurisdictionFor non-arbitrable matters (injunctive relief, IP disputes): exclusive jurisdiction of Lugano courts.
17. GENERAL PROVISIONS
Entire Agreement: These Terms, Privacy Policy, and Order Form constitute entire agreement and supersede prior agreements.
Amendment: Updates to these Terms are governed by Section 2.4.
Severability: Invalid provisions modified to minimum extent or severed; remaining provisions remain in effect.
Waiver: No waiver unless written. No failure to exercise = waiver.
Assignment: You may not assign without written consent. We may assign in mergers/acquisitions/sales or to affiliates.
No Partnership: No partnership, joint venture, employment, agency, or fiduciary relationship created.
Third-Party Beneficiaries: Terms benefit parties and successors only (except Indemnified Parties under Section 12).
Notices: To Us: Hyperstandard SAGL, Contrada di Sassello 10, 6900 Lugano, Switzerland; legal@hyperstandard.com. To You: Email associated with Account or Platform notification. Effective: upon delivery (email during business hours), next business day (email outside hours), or 5 days after mailing.
Force Majeure: Neither party liable for failure/delay from causes beyond reasonable control (acts of God, war, terrorism, epidemics, government actions, utility failures, telecommunications outages, Third-Party Service failures, Blockchain Network failures). If > 60 days, either party may terminate without liability.
Sanctions: You warrant not subject to comprehensive sanctions; not on sanctions lists (SECO, EU, UN, OFAC); won’t transact with sanctioned persons/jurisdictions; will comply with export controls; and will immediately notify us if representations become untrue. We may suspend/terminate if we believe violations.
Survival: Sections 3, 9, 11, 12, 13, 14, 15.4, 15.5, 16, 17, and 18 survive termination.
18. IP OWNERSHIP
All intellectual property rights in the Platform remain the exclusive property of Hyperstandard. You retain ownership of Customer Data. Hyperstandard grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform during the Term solely in accordance with these Terms.
19. ACCEPTANCE
BY ACCEPTING, CREATING AN ACCOUNT, OR USING THE PLATFORM, YOU ACKNOWLEDGE: You’ve read and understood Terms; agree to be bound; have authority; understand non-custodial nature and Hyperstandard’s limited role; understand independent DFNS access and can remove Hyperstandard anytime; understand Digital Asset/Blockchain/Third-Party risks; accept full responsibility; understand transaction irreversibility and error risks; have been advised to seek independent advice; agree to liability limitations and disclaimers; agree to arbitration and waive jury trial; and consent to data processing per Privacy Policy.
